DocSend is a good deck-sending tool that added data rooms. If what you are running is a multi-week diligence process with staged disclosure, the fit ends earlier than the pricing page suggests.
DocSend facts verified on docsend.com and its help center, August 2026, monthly billing shown (annual billing is discounted).
| DocSend | YourDataRoom.app | |
|---|---|---|
| What it is built around | Sending documents — a deck, a link, per-visit analytics. Data rooms ("Spaces") grew out of that. | Running a diligence process — the room, its phases, and the counterparties in it are the core objects. |
| Dynamic per-viewer watermarking | Yes — on the Advanced ($250/mo) and Advanced Data Rooms ($300/mo) plans. PDFs, Word, PowerPoint, Keynote only. | Every plan, from $49/mo. Viewer name, email, and timestamp burned into every page of view-only PDFs, server-side. |
| Staged disclosure | Manual: visitor groups plus per-file permissions an admin updates by hand as the deal progresses. DocSend’s own blog describes staging as an admin practice, not a feature. | A phase is a property of every document and every investor, enforced by the server on each request. Above-phase documents are invisible — absent from listings, 404 on direct fetch. |
| Visitor Q&A | None. Its shipped AI feature ("AI Organize", Advanced Data Rooms only) organizes folders for the admin; visitors with questions still email you. | Investors ask the data room directly; the AI answers with citations from the documents their phase allows, any hour. |
| Per-visitor analytics | Its strongest suit on decks: page-by-page time per visit. Data-room-level analytics are exclusive to the Advanced Data Rooms plan. | Per-investor engagement across the whole room — sessions, documents viewed and downloaded, questions asked — on every plan. |
| Pricing model | $15/user/mo (Personal) and $65/user/mo (Standard); the data-room tiers are $250/mo and $300/mo with 3 users included. Room capacity is capped by tier: 200 / 2,000 / 4,000 files per room. | Flat $49 / $149 / $349 per month, published, capacity-tiered, every capability in every plan. |
In DocSend, holding material back means an admin remembering to move people between groups and flip per-file permissions as the deal advances — and a visitor who knows a folder exists can ask why they cannot see it. In our model the server filters everything by phase on every request, and what an investor cannot see does not exist for them: no listing entry, no count, no search hit, and a direct request returns 404, not 403. The enforcement detail — including what we have not built, like NDA gating — is on the security page.
The live demo data room is open — ask it a question and watch the citations come back. Pricing is here, flat and published.
